Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Surge website, software, services, and any related products (collectively, the "Services"). By accessing or using Surge, you agree to be bound by these Terms. If you do not agree, do not use the Services.



1. Services

Surge provides marketing services, CRM software access, automations, and related consulting or support services for service-based businesses. Specific features, deliverables, and inclusions may vary by plan and are outlined on the website or agreed upon during onboarding.

Surge reserves the right to modify, update, or discontinue any aspect of the Services at any time.



2. Billing & Payments

  • Billing Cycle: All services are billed on a recurring 30-day basis.
  • Payment Due Date: Payments are due every 30 days from the initial signup date.
  • Auto-Billing: By purchasing Surge services, you authorize automatic recurring billing using the payment method on file.
  • Late or Failed Payments: Failure to process payment may result in paused services, restricted access, or termination without notice.

All fees are listed in U.S. dollars unless otherwise stated.



3. No Contracts

Surge operates on a month-to-month basis. There are no long-term contracts or commitments required to use the Services.



4. No Refund Policy

All payments made to Surge are non-refundable.

This includes, but is not limited to:

  • Setup fees
  • Monthly service fees
  • Software access fees
  • Advertising management or consulting fees

Once a billing cycle begins, no refunds or credits will be issued for partial use, unused time, or early cancellation.



5. Cancellation Policy

You may cancel your services at any time by providing written notice via email or through your assigned account manager.

  • Cancellations take effect at the end of the current billing cycle.
  • You will retain access to the Services until the end of the paid period.
  • No refunds will be issued for cancellations made mid-cycle.



6. Client Responsibilities

You agree to:

  • Provide accurate and complete information during onboarding
  • Maintain access to required platforms (e.g., ad accounts, domains, CRM logins)
  • Respond in a timely manner when input or approvals are required

Delays or lack of responsiveness from the client may impact results and do not qualify for refunds or credits.



7. No Guarantee of Results

Surge does not guarantee specific results, revenue, leads, conversions, or performance outcomes. Results may vary based on market conditions, ad spend, client execution, and other external factors outside of Surge’s control.



8. Intellectual Property

All software configurations, automations, workflows, templates, and proprietary systems provided by Surge remain the intellectual property of Surge unless otherwise agreed upon in writing.

Clients may not copy, resell, distribute, or transfer any Surge intellectual property without prior written consent.



9. Limitation of Liability

To the maximum extent permitted by law, Surge shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to the use of the Services.

Surge’s total liability shall not exceed the amount paid by the client in the most recent 30-day billing period.



10. Indemnification

You agree to indemnify and hold harmless Surge, its owners, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.



11. Termination

Surge reserves the right to suspend or terminate access to the Services at any time for violations of these Terms, non-payment, misuse of the platform, or conduct deemed harmful to the company or its clients.



12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict of law principles.



13. Updates to Terms

Surge may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
